Resumo
O acordo entre você e a Flexton LLC para o uso da plataforma Qoro.
1. Summary
These Terms of Service (“Terms”) govern your access to and use of the Qoro platform (the “Service”), operated by Flexton LLC (“we”, “Flexton”). Qoro is a SaaS platform that provides QR menus, order management, kitchen display, payment integration and multi-branch management to restaurants, cafés, bars and similar food-and-beverage businesses. By registering for the Service, starting a subscription, or continuing to use the Service, you accept these Terms.
2. Definitions
- Flexton / We: Flexton LLC, a Florida (USA) limited liability company (7901 4th St N, Suite 300, St. Petersburg, FL 33702). Operator of the Qoro platform.
- You / Tenant: The individual or business that creates an account and subscribes to the Service.
- End Customer: A customer of the Tenant who places an order via the Tenant's QR menu or customer-facing interface.
- Service / Platform: All features made available to the Tenant (QR menu, order management, kitchen display, payment integration, reporting, multi-branch management, etc.).
- Plan: A subscription package covering a given feature set (Starter, Pro, Business, Enterprise, etc.), billed monthly or annually.
- Tenant Data: All content uploaded by the Tenant (menu, products, prices, images, customer order records).
- Personal Data: As defined under GDPR and KVKK, any information relating to an identified or identifiable natural person.
- Confidential Information: Any business, technical or operational information that a reasonable person would treat as confidential.
- Payment Processor: The third-party payment infrastructure used to collect subscription fees (see the Privacy Policy for details).
3. Scope of Service
Flexton makes the Qoro platform available to the Tenant on an “as-is” and “as-available” basis. Core functions:
- QR-based digital menu publishing and customer ordering
- Table, section and floor plan management
- Categories, products, portions, combos and modifiers
- Kitchen display system (KDS) and order status flow
- Payment processor integration for customer payments
- Multi-branch management
- Reporting, sales analytics and staff management
The feature set depends on your Plan. Features may be added, improved or changed for performance or security reasons. Reasonable prior notice is given for material removal or changes.
4. Account Creation & Security
4.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into a business contract in your jurisdiction. If you are registering on behalf of a business, you represent that you are authorised to bind that business.
4.2 Accuracy of Registration Information
You are responsible for providing accurate, current and complete information (name, email, business name, contact details) at registration, and for keeping it up to date through the platform.
4.3 Account Security
You are responsible for the security of all credentials, including passwords, two-factor codes, passkeys and PINs. You must notify us without delay if you suspect unauthorised access. We recommend strong password practices, role-based staff access and not sharing accounts across users.
5. Subscription, Pricing & Payment
5.1 Free Trial
New accounts receive a 14-day free trial without requiring a credit card. Full Plan features are available during the trial.
5.2 Billing Cycle
After the trial, the fee for your chosen Plan is charged on the first billing date. Unless cancelled, the subscription auto-renews at the end of each billing cycle (monthly for monthly plans, annually for annual plans).
5.3 Payment Methods
Payments are collected via a PCI-DSS Level 1 certified third-party Payment Processor. Card details are not stored on Flexton servers; they are tokenised by the Payment Processor.
5.4 Late Payment & Grace Period
If a payment fails, you receive a 30-day grace period before the Service is suspended. During this window, the account enters read-only mode: data is preserved, but new orders cannot be taken. Full billing lifecycle details: /legal/refund.
5.5 Price Changes
We reserve the right to change Plan pricing. Existing Tenants receive at least 30 days' prior notice by email and in-platform notification. The new price applies from the next billing cycle.
6. Tax & Invoicing
6.1 Invoicing Entity
Subscription invoices are issued as PDFs under Flexton LLC(Florida, USA) via our Payment Processor. Flexton is a US entity and is not a taxpayer that issues Turkish e-invoices or e-archive invoices.
6.2 Turkey-Resident Tenants — Important Notice
For Tenants resident in Turkey, the PDF invoice is treated under Turkish tax law as an overseas service-purchase / expense document. Bookkeeping and KDV-2 (reverse-charge VAT) declaration obligations may apply. Please confirm with your accountant. Full notice: /legal/billing-notice.
6.3 EU Customers — Reverse Charge
For B2B customers established in EU member states, Article 44 of the EU VAT Directive applies (reverse charge); invoices are issued VAT-free. You must provide a valid VAT number at registration.
6.4 US Customers — Sales Tax
Applicable sales tax is added to invoices for states where Flexton has sales-tax nexus.
7. Cancellation & Refunds
You may cancel your subscription at any time via the platform or by email. Cancellation takes effect at the end of the current billing cycle — no pro-rata refund is issued for the unused portion. No refund disputes arise during the 14-day trial because no card is charged. Plan downgrades or switching from annual to monthly take effect at the start of the next billing cycle. 8. Acceptable Use
You must comply with the Acceptable Use Policy (/legal/aup) while using the Service. Use of the platform for illegal goods/services, spam, fraud, IP infringement, harm to other Tenants or our infrastructure, excessive API or resource consumption, or any activity that threatens system security is prohibited.
9. Customer Data & Privacy
9.1 Controller / Processor Roles
As a Tenant you act as the Data Controller for the personal data of your End Customers. Flexton acts as the Data Processor and processes that data on your instructions.
9.2 Data Processing Agreement (DPA)
The data-processing relationship is governed by Exhibit A — Data Processing Agreement and forms an integral part of these Terms. Full DPA: /legal/dpa. By accepting these Terms you also accept the DPA.

10. Intellectual Property
10.1 Flexton's Rights
All intellectual-property rights in the Qoro platform, logo, brand, source code, database schema, design and documentation belong to Flexton LLC. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with your Plan.
10.2 Tenant Data Ownership
Tenant Data (menus, product images, prices, customer order records) belongs to you. Flexton receives a license solely to provide, back up, improve and operate the Service.
10.3 Feedback
Any suggestions or feedback you provide may be used by Flexton for product development without obligation to you.
11. Confidentiality
Each party will protect the other's Confidential Information using reasonable care and will use it solely to perform under these Terms. Confidentiality survives termination for 3 years. Disclosures required by law are not a breach, provided the disclosing party gives notice where legally permitted.
12. Service Level
The Service targets approximately 99% uptime. For Enterprise Plans, a binding Service Level Agreement with credits is set out separately: /legal/sla. Uptime for other Plans is a target, subject to the limitations in Section 13.
13. Warranties & Limitations of Liability
13.1 “As-is” Statement
To the maximum extent permitted by law, the Service is provided “as is” and “as available”. Flexton disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation.
13.2 Liability Cap
To the maximum extent permitted by law, Flexton's total liability for any claim (whether in contract, tort or otherwise) is limited to the total subscription fees actually paid by the Tenant to Flexton in the 12 months preceding the event giving rise to the claim.
13.3 Indirect Damages
In no event will Flexton be liable for indirect, incidental, special, punitive or consequential damages (including lost profits, lost goodwill, loss of data or business interruption).
13.4 Exceptions
The limitations in this Section do not apply to damages caused by fraud, intent or gross negligence, or where otherwise prohibited by law. Some jurisdictions (e.g. consumer-protection regimes) may not allow these limitations in full.
14. Indemnification
Each party will defend and indemnify the other against third-party claims arising from its breach of these Terms or its negligence, including reasonable attorneys' fees. The indemnified party must give prompt written notice and reasonably cooperate in the defence.
15. Termination & Suspension
15.1 Termination by Tenant
You may cancel at any time (Section 7). To close the account entirely, use the in-platform account-deletion flow.
15.2 Termination by Flexton
Flexton may suspend or terminate the account for a serious breach of these Terms (notably a Section 8 AUP violation, payment failure exceeding the 30-day grace period, or legal requirement). Reasonable prior notice is given where the nature and urgency of the situation allow.
15.3 Data Deletion
After termination or account closure, Tenant Data is kept read-only for 30 days (export window). At the end of the window, active data is deleted. Records required to be retained by law (e.g. 10-year invoice retention) are archived in anonymised form.
16. General Provisions
- Assignment: You may not assign rights or obligations under these Terms without our prior written consent. We may assign in connection with a corporate reorganisation or asset transfer.
- Force Majeure: Neither party is liable for delay caused by events beyond its reasonable control (natural disaster, war, internet backbone outage, public authority action).
- Severability: If any provision is held invalid, the remaining provisions stay in effect, and the invalid provision is interpreted as closely as possible to its original intent.
- Entire Agreement: These Terms, together with the DPA, Privacy Policy and any product-specific addenda, constitute the entire agreement between the parties.
- No Waiver: Failure by Flexton to enforce a right is not a waiver of that right.
17. Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Florida, United States. The state and federal courts located in Florida have exclusive jurisdiction over B2B disputes.
This does not affect mandatory consumer-protection rights under your local law — including, where applicable, the Turkish Law of Obligations and Consumer Protection Act No. 6502 for Turkey-resident consumers.
18. Changes
Flexton may update these Terms. For material changes, we give at least 30 days' prior notice by email and in-platform notification; you may be required to re-accept the new version. Continued use without re-acceptance may be treated as acceptance. Version history is visible via the “Version” chip on each document.
19. Language & Binding Version
These Terms are published in Turkish and English. For Tenants and End Customers resident in Turkey, the Turkish version is binding. For users in all other jurisdictions, the English version is binding. Translations in other languages are provided for convenience only and are not binding.
